Terms of Service

These terms set out the rules and mutual commitments for using Vorlio’s project management, client portal, time tracking, and collaboration platform.

Last updated: October 14, 2026•Applies to Vorlio Cloud & Self-Hosted software

You Own Your Work

You maintain full intellectual property rights to every task, file, doc, comment, client review, and timesheet stored in Vorlio.

Self-Host or Cloud

Transparent licensing for both self-hosted servers and managed cloud instances. No hidden lock-in or punitive data export restrictions.

Clear Billing Tools

Timesheet and invoicing capabilities are workflow tools provided for your convenience; you remain in full control of your client contracts.

Fair & Transparent

No sudden surprise terms or predatory data exploitation. Plain language outlining what we expect from you and what you can expect from us.

1. Acceptance & Eligibility

By creating an account, launching a workspace on app.vorlio.site, installing the Vorlio self-hosted package, or accessing our services, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company, agency, or other legal entity, you represent that you have the authority to bind that entity.

You must be at least 16 years of age (or the legal age of majority in your jurisdiction) to establish an account or utilize Vorlio.

2. Accounts, Security & Workspaces

Vorlio workspaces operate with hierarchical roles (Workspace Owner, Administrators, Members, Limited Members, and Client Guests):

  • Workspace Ownership: The initial registrant who sets up a workspace acts as the Workspace Owner and maintains ultimate control over billing, security policies, deletions, and member invitations.
  • Credential Security: You are responsible for maintaining the confidentiality of your passwords and 2FA credentials. You must immediately notify us of any suspected unauthorized access.
  • API Key Responsibility: Any action executed using personal API keys (vor_*) is deemed performed by the respective key owner.

3. License & Permitted Use

Subject to compliance with these terms, Vorlio grants you a non-exclusive, non-transferable, revocable license to access and use the hosted service or run the self-hosted software in accordance with your chosen deployment mode.

You may not: (a) reverse engineer, decompile, or disassemble any proprietary components of Vorlio where prohibited by law; (b) rent, lease, or resell access to Vorlio as a standalone service without an authorized partner agreement; or (c) circumvent security controls, authentication mechanisms, or rate limits.

4. Customer Data & Intellectual Property

You Own Your Data 100%

All tasks, custom fields, client proofs, attached documents, messages, voice notes, and timesheet logs remain your exclusive intellectual property. Vorlio claims zero ownership or copyright over your content.

You grant Vorlio only the limited technical rights required to operate and display the service (for example, rendering boards, synchronizing real-time changes across team members, and routing video call streams).

5. Client Collaboration & Guest Access

Vorlio allows you to invite external clients and reviewers into specific Spaces and proof reviews via the Client Portal.

  • You are solely responsible for managing the permissions, Space memberships, and privacy settings of invited client guests.
  • Guest accounts must not be used by internal core employees to circumvent user licensing limits where applicable.
  • Vorlio is not a party to any contract, deliverable review, or milestone dispute between your organization and your clients.

6. Time Tracking, Billable Hours & Invoicing

Vorlio includes built-in timers, timesheets, approval flows, and invoice generation tools:

  • Software Tool Only: Time tracking and invoice tools are administrative aids. Vorlio is not a banking institution, certified tax advisor, or legal escrow agent.
  • Accuracy of Invoices: You are solely responsible for ensuring that all hourly rates, tax percentages, currency conversions, and line items on invoices created using Vorlio comply with local tax regulations and client agreements.

7. AI, Automations & Integration Services

Vorlio features intelligent automations, webhook deliveries, and Vorlio AI assistants (Ask Vorlio, Daily Brief, meeting summaries):

  • Verification of AI Outputs: AI-generated summaries, answers, and transcriptions are provided on an “as is” basis. You should verify critical decisions, legal notes, or technical estimates generated by automated models.
  • Automations: You are responsible for the rules, triggers, and actions configured within your workspace to prevent undesirable task status cascades or spam notifications.
  • Third-Party Integrations: When linking cloud assets from Google Drive, Dropbox, OneDrive, Figma, or Loom, you are subject to the third party’s respective terms and access permissions.

8. Acceptable Use Policy

You agree not to use Vorlio to:

  • Violate any applicable international, federal, or state laws and regulations.
  • Distribute malicious software, trojans, viruses, or unauthorized tracking code in task attachments.
  • Engage in abusive denial-of-service attempts or intentional flooding of WebSocket or webhook endpoints.
  • Transmit unsolicited commercial bulk communications (spam) or harass other users or clients.
  • Infringe upon the intellectual property, copyright, or privacy rights of any third party.

9. Self-Hosted Operations & Responsibilities

For organizations running Vorlio on their own servers or virtual machines:

  • You are solely responsible for server provisioning, firewall rules, SSL/TLS certificates, and regular PostgreSQL and attachment backups.
  • Vorlio is not liable for data loss or outages stemming from hardware failures, network misconfigurations, or unapplied database migrations on your infrastructure.

10. Termination & Data Portability

Workspace owners may close their workspace or account at any time. Before terminating your workspace, you can export your data in standard CSV, JSON, or printable document formats.

We reserve the right to suspend or terminate accounts that repeatedly violate our Acceptable Use Policy or compromise the security of other tenants, with reasonable advance notice whenever feasible.

11. Limitation of Liability & Warranties

Vorlio is provided “as is” and “as available”. To the maximum extent permitted by applicable law, Vorlio and its suppliers disclaim all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

In no event will Vorlio be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the platform.

12. Governing Law & Contact

These terms will be governed by and construed in accordance with the laws of the jurisdiction in which Vorlio operates, without regard to conflict of law principles.
